Knox Community Hospital Signs Letter of Intent to Join Kettering Health

Knox Community Hospital has signed a non-binding Letter of Intent (LOI) to join Kettering Health, a nonprofit health system headquartered in Ohio. The proposed partnership follows an extensive strategic evaluation led by the Knox Community Hospital Board of Trustees and leadership team to strengthen the hospital’s long-term sustainability while preserving and enhancing local access to care.
The organizations will now move forward with exclusive negotiations, continued due diligence and alignment planning. The transaction remains subject to the execution of a definitive agreement, regulatory approvals and customary closing conditions, with the organizations targeting completion by the end of 2026.
Under the proposed partnership, Kettering Health has committed to making significant capital investments in Knox Community Hospital’s service area over the 10 years following closing, including implementation of a new electronic health record system. The organizations also plan to maintain and enhance existing services, explore opportunities to expand care, support workforce stability by offering continued employment to substantially all active employees, and establish a local advisory board to help ensure the community’s voice remains central to future decision-making.

Juniper Advisory is serving as transaction advisor to Knox Community Hospital throughout its partnership evaluation process, supporting the Board and executive leadership from process development through partner evaluation, negotiations and execution of the Letter of Intent. Juniper continues to advise Knox Community Hospital as the organizations work toward a definitive agreement and completion of the transaction.
